Executives of Wipfli and Eide Bailly, two prominent accounting and consulting firms that rank among the largest in the country, announced the firms would not complete a proposed merger. The firms decided not to proceed with the proposed merger and will continue to operate as separate CPA firms.

The recent announcement of a merger between Deutsche Boerse AG and the New York Stock Exchange ("NYSE") leads many to believe that an acceleration of the conversion from the Generally Accepted Accounting Principles in the United States ("U.S. GAAP") to the International Financial Reporting Standards ("IFRS") for public companies may occur.

The Financial Accounting Standards Board (FASB) and International Accounting Standards Board (IASB) have been working on a project that would significantly change the way leases are reported by both lessees and lessors. An exposure draft was issued in August 2010. The FASB expects to issue a final standard in June 2011 and the effective date may follow that by two years.

At the HLB International Audit conference in July, audit partners from US member firms held a joint training session specifically for the US firms. The session was highly successful and led to discussing the possibility of holding a one-day meeting designed by and for US firms.

Paramus, New Jersey: Paramus-based forensic accounting firm, Morrison & Company, P.A., has merged with the regional certified public accounting firm, WithumSmith+Brown, P.C. (WS+B). Effective December 1, 2010, the union adds 14 professionals to the WS+B roster. The Morrison & Company staff currently based in the Paramus office will remain at that location, under the WS+B name.

Are your clients prepared for the new Harmonized Sales Tax (HST) rules? Effective July 1, 2010 the province of Ontario and British Columbia will harmonize their sales taxes with the 5% federal Goods and Services Tax (GST). The effective rate of the combined HST in Ontario will be 13% and the rate in British Columbia will be 12%.

Currently, a Dutch B.V. or N.V. can be incorporated only after the Ministry of Justice issues a statement of no objection. Without this statement, the incorporation is not legally binding. In most cases, filing for and acquiring this statement is simply a formality, but it still takes about one week.
